In a dynamic world, with increased market volatility and societal tensions, Ahold Delhaize’s local brands delivered consistent value for their customers, making sure their communities have access to affordable, high-quality and healthy products. At the same time, the brands maintained a relentless focus on the customer experience, with vibrant shopping opportunities in store and online, innovative own-brand assortments and the expansion of their personalized loyalty programs.&nbsp;</p><p>Frans Muller, President and CEO of Ahold Delhaize, reflects on the year: “A proud moment in 2024 was when we launched our new Growing Together strategy, which includes an even stronger focus on the customer experience. We have shared our ambition to accelerate growth for our company and drive sustainable value creation in the years to come. I’m pleased that our solid performance in 2024 provided us with a strong foundation for this future roadmap. This is what ‘being big, starts small’ means, and it really is the foundation of our company.”&nbsp;</p><p>The Annual Report includes a strategic report, which features a message from Ahold Delhaize’s CEO, an overview of the company’s Growing Together strategy, the performance review and a message from the Supervisory Board Chair. The strategy section features key stories that show how Ahold Delhaize leverages its growth strategy to bring the best results for the brands’ customers, communities, suppliers and associates. There is also a dedicated sustainability statements section that contains a wealth of information on environmental, social and governance topics, in accordance with the Corporate Sustainability Reporting Directive (CSRD).&nbsp;<br>&nbsp;</p><p>&nbsp;</p><h5><span style="color:#005555;">Key highlights from Ahold Delhaize’s Annual Report 2024&nbsp;</span></h5><ul><li data-list-item-id="e95d28b0caddb800abe8695b663115ec1">The Growing Together strategy includes six strategic priorities: thriving people, healthy communities & planet, vibrant customer experiences, trusted product, driving customer innovation and portfolio & operational excellence. These priorities are fueling and giving shape to the growth model that drives the company’s targets.</li><li data-list-item-id="e181209b073c78f88e97ae7518f0274f6">Ahold Delhaize delivered a solid and consistent financial performance in 2024, with an increase in its comparable sales (excluding gas) of 1.2%. The company delivered an operating margin of 4.0% and a free cash flow of €2.5 billion. Ahold Delhaize achieved or exceeded all its key financial goals for the year.</li><li data-list-item-id="ebe0277d79a74f64433ab0fc8bd6da0ff">The company invested €2.3 billion in areas such as the expansion, remodelling and maintenance of its store network; online platforms; supply chain; and IT infrastructure. Ahold Delhaize also made investments to reduce its carbon footprint, such as replacing refrigeration systems, enhancing energy efficiency in its facilities, investing in green buildings and solar panel installations, and gradually transitioning from fossil fuel vehicles to electric alternatives.</li><li data-list-item-id="e8bb776d86336985a3da8c7923f1fb432">In 2024, the company significantly exceeded its original Save for Our Customers goal, generating over €1.35 billion in cost savings, which is well above the company’s target. This enabled Ahold Delhaize to re-invest in its customer value proposition and keep prices as low as possible for customers.</li><li data-list-item-id="e243a49f01405c8b9490255b6f81ae088">The Ahold Delhaize brands expanded their own-brand assortments of fresh, healthy products at competitive prices. In Europe, the brands increased the number of Price Favorites to 7,700 products at entry-level prices. Also, Ahold Delhaize’s local brands in Central and Southeastern Europe added 500 high-quality products to their harmonized own-brand assortment in 2024. The U.S. brands have been putting a major focus on raising the awareness of own-brand quality and price relative to national brands.</li><li data-list-item-id="e238f9048b0748577d55ba200d386549e">Ahold Delhaize is successfully attracting more customers to the brands’ online platforms and has increased its online grocery sales by 10.4% (excluding FreshDirect). Ahold Delhaize’s brands increased personalization and loyalty offerings, supported by the integration of AI and predictive analytics.</li><li data-list-item-id="e3d932fd7711236e9c0c9324ddc352a32">In 2024, the company reduced greenhouse gas (GHG) emissions in its own operations by 36% compared to the 2018 baseline. The total tons of food waste per food sales was 35% lower than the company’s 2016 baseline. Ahold Delhaize is reporting a 10% reduction in virgin own-brand primary plastic packaging compared to 2021. The brands also increased the percentage of own-brand healthy food sales, which reached 52.4% in 2024.</li><li data-list-item-id="ef27f29a482983ae9f4c795ccd0bc50bb">In 2024, Ahold Delhaize’s brands collectively donated a total of 75,000 tons of food, actively partnering with local food banks and non-profit organizations to make a meaningful impact. Focusing on its financial expectations, Ahold Delhaize aims to deliver both organic and inorganic sales growth. The company expects to deliver a margin of around 4%, Save for Our Customers cost savings of at least €1.25 billion and gross capital expenditures of around €2.7 billion. For example, Dutch brand Albert Heijn published a supplier brochure on gender equality and women's rights and the Belgium brand Delhaize committed to a living wage in the banana sector. Romanian brand Mega Image introduced a Mega Ability program to provide job opportunities for people with disabilities. By doing so, we believe we can continue to drive positive impact toward a more equitable society that recognizes and respects human rights.”</span>&nbsp;</p><p>&nbsp;</p><h4><span class="h5">Sustainability due diligence</span>&nbsp;</h4><p><span>In 2023, in line with the Corporate Sustainability Reporting Directive (CSRD) and the newly adopted European Corporate Sustainability Due Diligence Directive (CSDDD), Ahold Delhaize decided to broaden its approach from human rights due diligence to sustainability due diligence, encompassing both social and environmental impacts.&nbsp; Ahold Delhaize also conducted a thorough review of its Standards of Engagement, which are included in the agreements with suppliers, to better align with the broader approach to both social and environmental due diligence. Additionally, the Standards of Engagement include more explicit references to responsible recruitment, which requires that suppliers act with special attention when engaging and recruiting migrant workers, both directly and indirectly. The list of high-risk countries is also updated, in line with the amfori Business Social Compliance Initiative (BSCI).&nbsp;</span>&nbsp;</p><p>&nbsp;</p><h4><span class="h5">Next steps&nbsp;</span></h4><p><span>As a next step, Ahold Delhaize is setting up global human rights impact assessments focused on the most salient impacts in the supply chain, including forced labor, child labor, and migrant workers in agriculture. These assessments, building upon those initiated by Ahold Delhaize’s Dutch brand Albert Heijn, will be performed by external experts and complement the sustainability risk assessments, social compliance audits and commodity certification programs already in place. They will help us further assess these salient impacts and establish global action plans to address them collectively. Simultaneously, we remain committed to advancing the transformation to a healthy and sustainable food system, actively working to achieve our sustainability targets.</span><br>&nbsp;</p><p>Reflecting on the publication of the Annual Report, Frans Muller, CEO of Ahold Delhaize, said: “The theme of this report is “local matters” – and, in 2023, we proved that once again. Our brands remain intensely focused on our aim to ensure that customers and communities have access to affordable, sustainable and healthy products. Within the report, we outline key developments in our Leading Together strategy, emphasizing our growth drivers of e-commerce and digitalization, operational excellence, health and sustainability and talent cultivation.<br>&nbsp;</p><h5><span style="color:#005555;">Key highlights from Ahold Delhaize’s Annual Report 2023&nbsp;</span></h5><ul><li>We met all of our key financial goals for the year. For example, our free cash flow was €2.4 billion, finishing at the higher end of our guidance range, reflecting solid and consistent operating cash flows. Looking at our CapEx, we invested €2.4 billion in areas such as store remodels and Home Shop Centers, including innovations and improvements to support our ESG agenda. And we continued to modernize our infrastructure.&nbsp;</li><li>In 2023 we significantly exceeded our original Save for Our Customers goal, generating over €1.25 billion in cost savings, which is over €250 million more than we had originally planned. This enabled our brands to keep prices as low as possible for customers.&nbsp;</li><li>Our brands expanded their high-quality own-brand assortments, optimized loyalty programs and provided a seamless shopping experience both in-store and online. For instance, our European brands expanded customer value through the roll-out of 'Price Favorites' to nearly 7,000 products in 2023. Scaling technology enhanced digital relationships, resulting in 6.9% growth in online sales and 12.1 million loyalty card holders. All our U.S. brands have continued to invest in e-commerce, now operating 1,558 click-and-collect points. They provided 11 billion personalized offers, enriching customer experience. Worldwide, our brands have 18.1 million active monthly app users.&nbsp;</li><li>In 2023 we made significant progress in the area of health and sustainability. We reached almost 55% of own-brand healthy food sales, further reduced GHG emissions in our own operations by 35% compared to our 2018 baseline, reduced food waste per food sales by 37% compared to our 2016 baseline and reduced virgin plastic in own-brand primary packaging by 10% compared to our 2021 baseline.&nbsp;</li><li>The report includes several sections related to our role in society, both in the communities we operate in and the impact we have on our more than 400,000 associates. We have included data on such topics as in-kind and cash donations to food banks across our store network, information about pay equity in our brands, and how we’ve increased women representation in our leadership group from 27% end of year 2021 to 33% end of year 2022 and to 37% end of 2023.&nbsp;</li><li>We expanded our ESG section with more details, including a new overview of the UN Sustainable Development Goals and how we’re striving to help fulfill them. We have doubled down on our Save For Our Customers cost savings program that reached a record level of €979 million in 2022.                         <title>Ahold Delhaize shareholders adopt 2021 financial statements and approve all agenda items</title>

Virtual shareholders and in-person shareholders could vote either in advance or during the AGM and were offered the opportunity to submit questions in advance or ask questions during the meeting.</p><p>The meeting was attended by 81 shareholders, representing approximately 650 million shares. The meeting was webcasted live via the Ahold Delhaize <a href="https://www.aholddelhaize.com/investors/agm-2022/" target="_blank">website</a>.</p><p>Shareholders adopted Ahold Delhaize’s 2021 financial statements and agreed to the proposed 2021 annual dividend of €0.95 per common share for the full year. An amount of €0.43 per common share was paid as interim dividend on September 2, 2021. The remaining amount of €0.52 eurocents per common share shall be payable on April 28, 2022. Shareholders adopted all other proposals on the agenda, including the appointment of Pauline van der Meer Mohr as member of the Supervisory Board and the new remuneration policies of the Management Board and the Supervisory Board.</p><p>PwC was re-appointed as the external auditor of the Company for the financial year 2022 and KPMG was appointed for the financial year 2023.</p><p>During his speech, Ahold Delhaize CEO Frans Muller said: "I would like to reflect with you on what is happening in today’s society and our company's role in it. The Annual Report will be on the agenda of the Annual General Meeting of Shareholders (AGM), which will be held on April 13, 2022. Later today the 2022 AGM convocation and meeting agenda will be published.<br /><br />Frans Muller, CEO of Ahold Delhaize, said: “I am proud of our performance and what we have been able to achieve in 2021. Despite expectations that the world would return to pre-pandemic life, COVID-19 continued to have a major impact in our brands’ markets – and kept our people very busy. I have enormous appreciation for associates in stores, distribution centers and support offices across Ahold Delhaize and its brands who worked so incredibly hard to serve the needs of customers and communities.”<br /><br />As a result, from a business standpoint, Ahold Delhaize went from strength to strength on many fronts during the year. Consumer trends around cooking and eating at home, shopping online and healthy eating have remained and evolved, and convenience continued to grow in importance. Ahold Delhaize’s great local brands have geared up their online propositions, delivery services, click and collect locations and brought unique customer experiences to their markets with new loyalty programs to truly enable customers to shop whenever and wherever they want.<br /><br />Over the past year, associates, customers and shareholders have become even more aware of global challenges and the need to accelerate the transition to a sustainable food system. Ahold Delhaize doubled down on its commitment to its climate strategy and brought forward its net-zero carbon emissions target for scope 1 and 2 by 10 years to 2040. Embedded in Ahold Delhaize’s belief that what is healthy for people, is healthy for the planet, another sharpened ambition is the increased target for healthy own-brand food sales to be at least 55% by 2025.</p>

<p>An important milestone for Ahold Delhaize during the year was announcing updates to its long-term strategy “Leading Together” and key medium-term commitments during its <a rel="noopener" href="https://www.aholddelhaize.com/investors/investor-day-2021/" target="_blank" title="Investor Day 2021">Investor Day</a> in November. The report is an important milestone to show what steps Ahold Delhaize and its great local brands are taking to safeguard human rights, both within the organization and across the supply chain, as well as increase transparency on the highest priority human rights issues for Ahold Delhaize and its brands.</p>
<p>The report is based on the UN Guiding Principles Reporting Framework and is the result of a global human rights due diligence process that began in 2018. This due diligence process was designed to increase engagement on human rights – both internally and externally – and to assess current human rights management policies, processes and governance. The Human Rights Report outlines the outcome of this due diligence and provides a roadmap for future actions.</p>
<p>In consultation with internal and external stakeholders, Ahold Delhaize has identified six salient human rights issues that it will focus on as initial priorities, followed by six additional relevant issues. Furthermore, Ahold Delhaize is strengthening its governance to ensure human rights are fully embedded within its strategy and to support the brands as they ensure that the protection of human rights is an integral part of their business activities. Additionally, these issues will be assessed to understand how they are impacting local markets and where action can be taken when needed.</p>

<p>Ahold Delhaize’s 2019 Annual Report will be on the agenda of the Annual General Meeting of Shareholders (AGM), which will be held on April 8, 2020.
